By accessing or using the GreenPaths platform, website, mobile application, or any related services (collectively, the "Service") operated by GreenPaths Software Inc. ("GreenPaths," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
By creating an account, clicking "I agree," or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
GreenPaths is a field sales platform designed for alcohol, cannabis, and consumer packaged goods (CPG) brands. The Service provides daily stock visibility, gap reporting, visit tracking, route intelligence, and account management tools to help field sales teams manage retail relationships and grow distribution.
The Service may include web-based dashboards, mobile applications, data integrations, analytics, and reporting features. GreenPaths reserves the right to modify, update, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.
To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:
Access to the Service requires a paid subscription. Subscription plans, pricing, and billing cycles will be communicated to you during the onboarding process or as otherwise agreed in writing between you and GreenPaths.
You agree to pay all fees associated with your chosen subscription plan. All fees are quoted in Canadian dollars (CAD) unless otherwise specified. Payments are due in accordance with the billing terms established at the time of subscription.
GreenPaths reserves the right to modify pricing with at least thirty (30) days written notice prior to the start of your next billing cycle. Continued use of the Service after a price change takes effect constitutes your acceptance of the updated pricing.
Failure to pay outstanding fees may result in suspension or termination of your account. Any amounts past due may be subject to late payment charges as permitted by applicable law.
The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is the property of GreenPaths Software Inc. and is protected by Canadian and international intellectual property laws.
GreenPaths grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms. This licence does not include any right to modify, copy, distribute, or create derivative works based on the Service.
All trademarks, service marks, and trade names displayed on the Service are the property of GreenPaths or their respective owners. Nothing in these Terms grants you any right to use any GreenPaths trademark without prior written consent.
You retain full ownership of all data, content, and information that you submit, upload, or input into the Service ("Customer Data"). GreenPaths does not claim any ownership rights over your Customer Data.
By using the Service, you grant GreenPaths a limited licence to host, store, process, and display your Customer Data solely for the purpose of providing and improving the Service. This licence terminates when you delete your Customer Data or when your account is terminated.
GreenPaths may generate aggregated, anonymized, or de-identified data derived from your use of the Service. Such data will not identify you or any individual and may be used by GreenPaths for analytics, product improvement, and industry benchmarking purposes.
Upon termination of your account, you may request an export of your Customer Data. GreenPaths will make reasonable efforts to provide your data in a standard, machine-readable format within thirty (30) days of receiving your request.
The Service may integrate with third-party data providers, including but not limited to InstantIQ and other retail, sales, and licensing data sources. These integrations are provided to enhance the functionality of the Service and deliver timely, relevant data to your field sales team.
GreenPaths is not responsible for the accuracy, completeness, or availability of data provided by third-party sources. Third-party integrations are subject to the terms and conditions of those respective providers.
Your use of third-party integrations may require you to agree to additional terms imposed by those providers. GreenPaths does not endorse, warrant, or assume liability for any third-party services or data.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, GreenPaths disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
GreenPaths does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. GreenPaths does not guarantee the accuracy or reliability of any data, information, or results obtained through the Service, including data received from third-party integrations.
You acknowledge that your use of the Service is at your sole risk.
To the maximum extent permitted by applicable law, GreenPaths Software Inc., its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.
In no event shall the total liability of GreenPaths to you for all claims arising out of or relating to these Terms or the Service exceed the total amount of fees paid by you to GreenPaths during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the liability of GreenPaths shall be limited to the greatest extent permitted by law.
You may terminate your account at any time by contacting GreenPaths at hello@greenpaths.io. Termination will take effect at the end of your current billing cycle unless otherwise agreed.
GreenPaths may suspend or terminate your access to the Service at any time, with or without notice, if you breach these Terms or if GreenPaths reasonably determines that your use of the Service poses a risk to the platform, other users, or third parties.
Upon termination, your right to access and use the Service will cease immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including but not limited to intellectual property, limitation of liability, and governing law.
GreenPaths reserves the right to update or modify these Terms at any time. When changes are made, the updated Terms will be posted on this page with a revised effective date.
For material changes, GreenPaths will make reasonable efforts to notify you by email or through the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
If you do not agree to the updated Terms, you must stop using the Service and contact GreenPaths to terminate your account.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada. You irrevocably consent to the jurisdiction and venue of such courts.
